Terms of Service

General Terms and Conditions for Creative Services.

Effective date: 8 June 2026

These Terms of Service govern the services provided by Vidya, including creative strategy, video production, post-production, AI-assisted production, photography, editing, motion design, and related creative services.

By approving a quote, proposal, invoice, statement of work, or written confirmation from Vidya, the client agrees to these Terms unless otherwise agreed in writing.

  1. Scope

These Terms of Service govern all services provided by Vidya, including strategy, creative direction, video production, post-production, AI-assisted production, photography, motion design, editing, consulting, and related creative services. By approving a quote, proposal, statement of work, invoice, or written confirmation from Vidya, the client accepts these terms unless otherwise agreed in writing.

  1. Quotes and Project Approval

All projects begin with a written quote, proposal, or scope of work describing the services, deliverables, estimated timeline, and fees. Quotes are valid for [30] days unless stated otherwise. A project is considered confirmed once the client approves the quote in writing, pays the required deposit, or otherwise gives written authorization to begin. Any work outside the approved scope may be billed separately.

  1. Client Responsibilities

The client agrees to provide all information, materials, access, feedback, approvals, brand assets, legal clearances, and other elements reasonably required for Vidya to perform the services. Delays in providing these elements may affect timelines and delivery dates. Vidya is not responsible for delays caused by missing, late, incomplete, or inaccurate client input. The client confirms that any materials provided to Vidya do not infringe third-party rights.

  1. Fees and Payment

Fees are defined in the approved quote, proposal, or invoice. Unless otherwise agreed, Vidya may require a deposit before work begins. Remaining balances are due according to the payment schedule stated in the quote or invoice. Late payments may result in suspension of work, delayed delivery, or additional fees. All prices are exclusive of VAT unless stated otherwise.

  1. Changes and Revisions

The project includes only the revisions expressly stated in the approved proposal or quote. Additional revisions, major creative changes, reshoots, new formats, new deliverables, or changes requested after approval may be billed separately. Vidya will inform the client when a requested change is outside the agreed scope where reasonably possible.

  1. Cancellations and Postponements

If the client cancels or postpones a confirmed project, Vidya may invoice for all work already completed, time reserved, third-party costs, and non-refundable expenses. For confirmed production days, the following cancellation fees may apply:

  • More than 14 days before the shoot: work completed and committed costs only,

  • 7 to 14 days before the shoot: up to 50% of the production fee,

  • Less than 7 days before the shoot: up to 100% of the production fee,

Third-party costs such as crew, equipment, locations, travel, talent, permits, music, stock assets, or other booked suppliers remain payable if they cannot be cancelled or refunded. Postponements are treated case by case. Vidya will make reasonable efforts to reschedule, but additional costs may apply.

  1. Delivery

Vidya will make reasonable efforts to meet agreed delivery dates. Delivery dates are estimates unless expressly confirmed as fixed deadlines in writing. Vidya is not liable for delays caused by client feedback delays, third-party providers, force majeure, technical issues, platform changes, or circumstances outside Vidya’s reasonable control.

  1. Approval of Deliverables

The client must review delivered work and request revisions within [7] days unless otherwise agreed. If no written feedback is received within that period, the deliverables may be considered approved. Once approved, further changes may be billed separately.

  1. Intellectual Property and Usage Rights

Until full payment is received, all intellectual property rights in the work remain with Vidya or its licensors.

After full payment, the client receives the usage rights described in the approved quote or proposal.

Unless otherwise agreed in writing, the client receives a non-exclusive, worldwide license to use the final approved deliverables for the agreed business, marketing, and communication purposes.

Raw footage, project files, source files, AI prompts, working files, unused concepts, editing timelines, and internal production materials are not included unless expressly stated in the quote.

  1. Third-Party Materials

Some projects may include licensed music, stock footage, fonts, plugins, models, voiceovers, talent, locations, or other third-party materials. Such materials may be subject to separate license terms, usage limits, territories, durations, or platform restrictions. The client is responsible for respecting any third-party license terms communicated by Vidya.

  1. Portfolio and Promotion

Unless the client objects in writing before the project begins, Vidya may display completed work, project excerpts, behind-the-scenes material, client name, and client logo in its portfolio, website, social media, pitch materials, award submissions, and promotional channels. For confidential or unreleased projects, Vidya will wait until public release or written approval before publication.

  1. Confidentiality

Each party agrees to keep confidential any non-public business, creative, technical, financial, strategic, or personal information received from the other party. This obligation does not apply to information that is already public, independently developed, lawfully received from another source, or required to be disclosed by law.

13. AI-Assisted Production

Vidya may use AI-assisted tools as part of its creative, production, editing, research, or post-production workflows where appropriate. Vidya remains responsible for the final deliverables it provides. The client is responsible for reviewing and approving final outputs before publication, especially where legal, regulatory, brand, or factual accuracy matters. If the client has restrictions regarding AI tools, confidential materials, likeness, voice, or data handling, these must be communicated in writing before the project begins.

14. Liability

Vidya is responsible for performing its services with reasonable professional care. To the maximum extent permitted by law, Vidya is not liable for indirect losses, lost profits, loss of business, reputational damage, platform rejection, campaign performance, or consequences arising from client-approved materials. Vidya’s total liability is limited to the amount paid by the client for the specific project giving rise to the claim, except where such limitation is not permitted by law.

15. Client Warranties

The client confirms that it has the necessary rights, permissions, licenses, and approvals for all materials, locations, products, people, trademarks, claims, and content it asks Vidya to include. The client is responsible for ensuring that final published content complies with applicable laws, advertising rules, industry regulations, and internal brand/legal requirements.

16. Force Majeure

Neither party is liable for failure or delay caused by events outside reasonable control, including illness, accident, extreme weather, strikes, transport disruption, equipment failure, power outage, platform outage, legal restrictions, war, pandemic, or natural disaster.

17. Termination

Either party may terminate a project in writing if the other party materially breaches these terms and does not remedy the breach within a reasonable period after written notice. Upon termination, the client must pay for all work completed, committed costs, and approved expenses up to the termination date.

18. Governing Law and Jurisdiction

These terms are governed by Swiss law, unless otherwise agreed in writing. Any dispute shall be subject to the competent courts of Geneva, Switzerland.
